Terms of Service

1. Agreement and eligibility

These Terms govern access to and use of https://agentengine.app and the related AgentEngineAI application and services (the "Service"), operated by Yoshida Social Lab LLC, doing business as AgentEngineAI ("AgentEngine," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you accept on behalf of a brokerage, company, or other organization, you represent that you have authority to bind it, and "you" means that organization.

You must be at least 18 and legally able to enter this agreement. The Service is for professional and business use. You are responsible for maintaining any license or authorization required for your real estate activities.

Our Privacy Policy describes how we handle personal information.

2. Accounts and access

Provide accurate registration and billing information and keep it current. Protect your credentials and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize through your account.

Subject to these Terms and payment of applicable fees, we grant you a limited, nonexclusive, nontransferable right to access the Service during your subscription for your business activities, including creating marketing content for properties and clients you are authorized to represent. This does not permit reselling access to the Service.

3. Plans, subscriptions, and payment

Automatic renewal. Paid subscriptions are billed monthly or annually in advance, as shown at checkout, and automatically renew for the same period unless canceled before the next renewal charge.

Payment authorization. You authorize us and our payment processor, Stripe, to charge your selected payment method for purchases and recurring charges you authorize. Keep your payment details current. If a charge fails, we may suspend paid access after notice.

Included credits. Subscription credits reset each billing period and do not roll over.

Purchased credits. One-time credit-pack credits do not expire and can be used regardless of your subscription plan, including the Free Forever plan. They are not transferable or redeemable for cash except as required by law. Canceling your subscription does not forfeit purchased credits.

Cancellation. You may cancel automatic renewal at any time from your dashboard's Settings page, which opens Stripe's secure billing portal. Cancellation stops future renewals; paid access continues through the end of the current paid period. If you have trouble accessing this, contact chris@yoshidasociallab.com.

Plan changes. Upgrades take effect immediately; downgrades ordinarily take effect at your next renewal date.

Price changes. Changes to recurring prices apply prospectively, no earlier than your next renewal, after advance notice.

Refunds. Except as expressly provided here or required by law, fees are nonrefundable, and unused included credits are not prorated or refunded upon cancellation. Contact us promptly about billing errors.

4. AI output and professional review

The Service uses AI to assist with listing descriptions and other marketing content. Output may be inaccurate, incomplete, misleading, or biased. Automated Fair Housing and compliance checks are an aid, not a certification of compliance — they may miss issues or flag acceptable language.

You must review, verify, and approve output before publishing, sending, or relying on it. Verify property facts, availability, measurements, pricing, photographs, representations, required disclosures, and permissions. Do not use generated content to misrepresent a property, fabricate testimonials, or make unsupported claims.

You are responsible for your use of the Service and for complying with applicable Fair Housing, advertising, privacy, intellectual-property, licensing, MLS, brokerage, and platform requirements. Do not use the Service to discriminate unlawfully, steer people based on protected characteristics, or make tenant-screening, housing-eligibility, lending, or other legally significant eligibility decisions.

AgentEngine provides software assistance and does not provide legal advice, brokerage representation, an appraisal, a credit decision, or a guarantee of leads, sales, revenue, or compliance.

5. Leads and buyer-portal pages

You must have a lawful basis and the necessary permissions to collect, upload, use, and share personal information through the Service's buyer-portal and lead-capture tools. Provide required privacy notices and obtain and retain any required consents before contacting a lead.

You are responsible for the audiences, recipients, content, timing, and channels you select, and for complying with applicable email, telephone, text-message, do-not-call, and opt-out requirements. Honor withdrawal of consent and unsubscribe requests.

If applicable law requires a formal data processing agreement for how we handle lead or client data on your behalf, contact us at chris@yoshidasociallab.com and we'll work with you on one.

6. Acceptable use

You must not:

• Use the Service unlawfully or to infringe intellectual-property, privacy, publicity, or other rights.
• Upload content you lack authority to use or disclose, or submit children's personal information.
• Create fraudulent, deceptive, discriminatory, threatening, or abusive content, or send unlawful unsolicited messages.
• Introduce malware, disrupt the Service, bypass security or usage restrictions, or access accounts or data without authorization.
• Reverse engineer the Service except to the extent applicable law gives you a nonwaivable right to do so.
• Scrape or extract Service data using unauthorized automated means, or resell, sublicense, or provide unauthorized access to the Service.

7. Your content, output, and our intellectual property

Your input. You retain whatever rights you hold in content you submit, and represent that you have the rights needed for our processing and your intended use.

Limited processing license. You grant us a nonexclusive, worldwide license to host, reproduce, transmit, process, and display your content only as needed to provide and secure the Service and meet legal obligations. This does not authorize public advertising with your content or training general-purpose AI models on it.

Output. As between you and AgentEngine, you own the listing output generated for you. We do not guarantee that output is copyrightable, exclusive, original, or free of third-party claims.

Our technology. We and our licensors retain all rights in the Service, software, designs, trademarks, and underlying technology.

8. Third-party services

The Service depends on third-party providers, including Supabase (hosting, authentication, storage), Stripe (payments), Lovable (application hosting and AI infrastructure), and OpenAI and Google (the AI models that generate your listing content). We are not responsible for independently operated third-party services, and third-party failures may affect availability.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THE ACCURACY OR SUITABILITY OF OUTPUT.

10. Limitation of liability

To the extent permitted by law, AgentEngine and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or data, arising from this agreement or the Service. Our total aggregate liability will not exceed the greater of US $100 or the fees you paid us in the 12 months before the event giving rise to liability. Nothing here excludes liability for fraud, willful misconduct, or gross negligence, or any liability that cannot legally be limited.

11. Indemnity

If you use the Service for business purposes, you will defend and indemnify AgentEngine against third-party claims arising from your content's infringement of third-party rights, your unlawful collection or use of personal information, your unlawful marketing communications, or your material violation of these Terms.

12. Suspension, termination, and service changes

You may cancel renewal as described in Section 3, or close your account entirely by emailing chris@yoshidasociallab.com (we don't currently have a self-service account-deletion button). You can export individual listings using the export tools in your dashboard; for a full copy of your account data, include that in your closure request.

We may suspend access immediately when reasonably necessary to address a security threat, unlawful conduct, or material harm. For other material breaches, we will ordinarily provide notice and 10 days to cure before termination.

If we discontinue the Service or terminate your paid access for our convenience, we will give reasonable advance notice where practicable and refund prepaid fees for the unused subscription period and unused purchased credits.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Subject to mandatory applicable law, courts located in Monterey County, California have exclusive jurisdiction over disputes arising from these Terms.

Before filing a claim, either party is encouraged to contact the other to attempt an informal resolution. This does not delay legal deadlines or prevent urgent relief or small-claims proceedings where available.

14. Changes to these Terms

We may revise these Terms prospectively. We will provide advance notice of material changes through email or the Service before they take effect. If you do not agree, you may cancel renewal and discontinue use.

15. General terms and contact

These Terms and the applicable checkout order constitute the agreement concerning the Service. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign this agreement without our consent. No agency, partnership, employment, or joint venture is created.
